  • Santos rejects Harbour takeover bid, ends all talks

    first_imgAustralian oil & gas producer Santos has rejected Harbour’s takeover proposal claiming it does not represent a full value of the company and terminated all discussions with Harbour.To remind, after launching a non-binding bid in April to take over Santos, Harbour Energy firmed up the offer earlier in May. According to Bloomberg, this offer valued Santos at $10.3 billion.On May 21, 2018 Santos received an increased takeover bid from Harbour Energy, however with some conditions.Namely, Santos received a conditional binding offer from Harbour Energy to acquire 100 per cent of Santos shares by way of a scheme of arrangement at a cash price of $5.21 per share (currently equivalent to A$6.86 per share).Harbour indicated that it would be willing to increase its offer to $5.25 per share (currently equivalent to A$6.91 per share) if Santos was willing to extend certain oil price hedging arrangements.Harbour subsequently confirmed that the price offered under the final proposal was “best and final” and followed a seven week period of engagement with Harbour on the price and terms of an indicative proposal announced in April.Following extensive due diligence, the final proposal price was increased by 4.6 per cent to US$5.21 per share from the price of US$4.98 per share in the indicative proposal. The consideration would be in US dollars and Santos shareholders would be subject to fluctuations in the AUD/USD exchange rate, with no adjustment if the US dollar depreciated against the Australian dollar. Santos reasons In arriving at this decision, Santos said it has had regard to its belief that superior shareholder value could be realized by executing existing strategy. Furthermore, Santos said that the offer price was too low and control premium inadequate.Santos also took into consideration the complexity and risk in the transaction structure, including its reliance on a high level of debt funding, unequal treatment of shareholders – Santos’ largest shareholders being offered an opportunity that was not available to all shareholders to remain invested in Santos; and, uncertainty for shareholders due to a protracted execution timetable.Santos Chairman, Keith Spence, said: “Santos has a well-developed strategy, strong leadership and management team and outstanding growth opportunities that the Board believes will deliver superior value for its shareholders over time.” Announcing its rejection, Santos stated on Tuesday that, since receipt of the indicative proposal, Brent oil prices have increased by 14 per cent and the share prices of other major ASX-listed energy peers by an average of 18 per cent. The Santos business has continued to perform well and is generating strong free cash flow.The final proposal was a highly leveraged private equity-backed structure that, prior to implementation, would have required Santos to provide significant support for Harbour’s debt raising and to hedge a significant proportion of oil-linked production. In addition, the final proposal was stated to be subject to various conditions, including FIRB approval and restrictions on the conduct of Santos’ business from the time of entering into the scheme implementation deed until implementation.After careful consideration of all aspects of the final proposal, the Santos independent directors and Managing Director & CEO have unanimously resolved to reject it on the basis that it does not represent a full value of the company and, when combined with the associated risks, is not in the best interests of Santos shareholders.Accordingly, Santos has now terminated all discussions with Harbour Energy. ‘Thanks but no thanks’last_img read more

  • A 300 Million-Year-Old Fully Modern Beetle Causes Astonishment

See his Author Profile for his previous articles. by Jerry Bergman, PhD A newly discovered bug—a beetle—has really bugged some Darwinists. As explained in a report based on a study by Friedrich-Schiller-Universitaet scientists in Jena Germany, the half centimeter-long beetle that closely resembles a modern beetle is “currently causing astonishment among both entomologists and paleontologists.”[i] The beetle, one of the oldest known beetles ever discovered, “is throwing a completely new light on the earliest developments in this group of insects.” The report, published in the current issue of the leading scientific journal titled the Journal of Systematic Palaeontology, is about a fossilized beetle found in a former marshland in Belmont, Australia.Previously known beetle fossils have all belonged to a beetle lineage that exhibited a series of what were judged as primitive characteristics, such as wing cases (elytra) that were not completely hardened, or a body surface densely covered with small tubercles. Both of these traits are very different from modern beetles. Modern beetles have wing cases that are completely hardened, and have a largely smooth body surface.The problem was these very modern traits were found on a beetle claimed to be 300 million years old. Furthermore, the thoracic segments responsible for locomotion on the ancient beetle also show modern features, including antennae resembling a string of beads, and antennal grooves.[ii]  Beetles preserve better in the fossil record than many other kinds of insects due to their unusually robust reinforced exoskeleton.[iii] The claimed modern features were determined from elaborate reconstructions of the fossils using computer 3D models of the complete fossil preserved by a “snapshot” kill caused by a sudden volcanic ash dump. Consequently, much fine detail has been preserved, allowing a detailed study of the insect. Because of its combination of ancestral and modern characteristics, this beetle does not fit in any of the current system of four suborders of beetles. Thus, some evolutionists decided that the evolutionary tree must be greatly revised.The problem Darwinists have is, what is a modern beetle doing in the same geological strata with ancient extinct beetles? This is like discovering the fossil of a fully modern western man buried in a geological stratum next to an animal believed to have become extinct 300 million years ago. Either the dating of the fossil is grossly inaccurate, or our beliefs about modern and primitive beetles are totally wrong. I discuss a third possibility below.The difference between the ancient and modern beetles could be due to their lifestyle difference. The newly discovered beetle did not live under the bark of trees like most of its contemporaries. Instead, the beetle lived on the plant’s surface, and thus was exposed to the atmosphere to a greater degree than other beetles living at this time. This explains its completely hardened wing cases, and its largely smooth body surface.This explanation seems to be the most logical, and judgments about primitive vs modern features appear to have distorted the scientist’s conclusions. We simply have two different beetles that were different because of lifestyle adaptation differences. They may simply be two more different types of the approximately 350,000 known beetle species on Earth, and the possibly thousands more yet to be discovered.   • Pew Claims Over 99% of Social Media News Links are to MSM

And just four – the BBC, CNN, the New York Times and the Washington Post accounted for fully 80% of all links.” This is one of the assertions in the latest report from the Pew Research Center’s Project for Excellence in Journalism, “New Media, Old Media.” The data the report is based comes from the New Media Index and the News Coverage Index. Pew describes the former as “a weekly report that captures the leading commentary of blogs and social media sites focused on news and compares those subjects to coverage in the mainstream press.”This figure seems wildly out of sync with the admittedly non-statistical experience of the editorial staff at ReadWriteWeb.No Original News on Twitter?Another surprising finding was about original news on Twitter. According to the study, there was no original news at all on Twitter. “Here half (50%) of the links were to legacy outlets; 40% went to web-only news sources such as Mashable and CNET. The remaining 10% went to wire stories or non-news sources…”Pew used the term “links” here, though earlier in the report they ask, “What types of news stories do consumers share and discuss the most?” Have they limited their discussion of Twitter solely to Tweets with links? It is a common way of sharing news on Twitter, but not the only way. Twitter was even less likely to share the traditional media agenda – the lead story matched that of the mainstream press in just four weeks of the 29 weeks studied. On YouTube, the top stories overlapped with traditional media eight out of 49 weeks. “Of all the social media covered in the study, YouTube had the most international focus. The report states that 26% of the news videos watched were of non-U.S. events. But the most-watched videos were not of “the most important or pressing topic of the week, but rather what image or video was the most interesting to view.” Examples included Susan Boyle on “Britain’s Got Talent” (the most popular video during one week in June and viewed 100 million times in less than a month) and a drunk bus driver endangering students. They follow millions of blogs each day, so no complete list would be possible.As we described in our methodology, we collected the articles that were most linked to on blogs that made the top five lists on Icerocket and Technorati each weekday. Of those, 99% were from legacy outlets as you noted.Also, as we noted in the report, we relied on the “news” categorization that Icerocket and Technorati used. We made no judgment as to whether a story was considered news versus some other type of story.It also made no difference what the type of blog was making the link. It only mattered what the story was that they linked to – so if a knitting blog, for example, linked to a Washington Post story about the deficit, that would have been included.Your own experience may be different depending on the blogs or social media you follow, of course. This is a quantitative statistical analysis over far more material than one person would encounter.Some have argued that Technorati has been a less than robust source for social media information for some time. Icerocket has recently show signs of substantial re-invigoration but was on the fade for a while. The relationship between social media and traditional media is a strong one, a reality that should be pretty clear for anyone involved in both. The way that the study was done, however, focusing on a slice of a slice of a slice, may make it less indicative of the state of that relationship as a whole than it might seem at first blush. Harvesting more wood for use in bridges and buildings and using less steel and concrete would sharply reduce the consumption of fossil fuels and lower carbon dioxide emissions, a study led by Yale University has found.By increasing the amount of wood that’s harvested annually from 20% of sustainable growth to 34% of sustainable growth, carbon emissions could be reduced by between 14% and 31%, scientists from the Yale School of Forestry & Environmental Studies and the University of Washington’s College of the Environment said.A summary of their findings published at ScienceDaily.com said that by replacing concrete and steel with more wood, the consumption of fossil fuels could be trimmed by as much as 19%.Chadwick Oliver, director of the Global Institute of Sustainable Forestry at the Yale school, said that making steel, concrete, and brick adds up to about 16% of fossil fuel use globally.     first_imgVisiting Mumbai, a day after announcement of Assembly polls in Maharashtra, Bharatiya Janata Party (BJP) president Amit Shah on Sunday chose not to meet Shiv Sena chief Uddhav Thackeray maintaining secrecy over whether or not both parties will contest the election as an alliance.Addressing a public rally in Goregaon, Mr. Shah announced that Chief Minister Devendra Fadnavis would continue at the post even after the polls. The BJP president went on to say that the National Democratic Alliance (NDA) would get three-fourth majority in the Assembly of 288 seats. While his reference to the NDA has sent mix signals, Mr. Shah did not mention Shiv Sena in his speech. This is being viewed as a snub to the Sena which is projecting Aaditya Thackeray, son of party chief Uddhav Thackeray, as its nominee for the CM’s post.“The Fadnavis government worked alongside Narendra Modi government at the Centre. The Modi government got a second term and I am clear voters have made up their minds to give Fadnavis another term,” Mr. Shah said.However, throughout the day Mr. Shah did not hold any political meeting either with the BJP leaders or with Mr. Thackeray, as speculated. It was widely believed that the meeting between both the leaders would iron out any wrinkles in their partnership and an alliance between two parties would be finalised.The Sena chief has already said that he is hopeful of an alliance with the BJP while Mr. Fadnavis too has said that both parties will contest as part of a coalition. Mr. Thackeray has also said that the seat-sharing formula for the Assembly polls was decided by himself, Mr. Fadnavis and Mr. Shah before Lok Sabha polls. Sena’s Rajya Sabha MP Anil Desai on Friday said that the Sena would accept the number of seats given to it by the BJP.Intense speculation is continuing on the number of seats each part would contest, with the latest version being BJP would contest 162 seats with Sena contesting on 126. The smaller parties would be accommodated from BJP’s quota.Senior Sena leader Divakar Raote had said that party expects 50:50 seat sharing formula and failing to do so would result in the breaking of the alliance.
